Terms of Service

Agreement

These Terms of Service ("Terms") govern the use of software services operated by Factotim LLC ("Factotim," "we," "our") on behalf of its clients ("Client," "you"). By authorizing Factotim to access third-party services on your behalf, you agree to these Terms.

Services

Factotim provides custom software integration and automation services, including:

• Event-driven workflow automation between third-party platforms
• Data synchronization across authorized services (e.g., Stripe, QuickBooks Online, Avalara, Airtable)
• Error monitoring and operational reporting

Services are configured and operated per the scope agreed upon with each client. Factotim acts as a service provider executing automations as directed by the client.

Client Responsibilities

• Authorization — You are responsible for authorizing Factotim's access to third-party services (OAuth grants, API keys) and ensuring you have the right to grant such access.
• Data accuracy — You are responsible for the accuracy of data and configurations provided to our systems.
• Credentials — You are responsible for safeguarding any API keys or credentials used to access our services.
• Compliance — You are responsible for compliance with the terms of service of third-party platforms connected through our services.

Third-Party Services

Our services integrate with third-party platforms. We are not responsible for the availability, accuracy, or policies of these platforms. Changes to third-party APIs, terms, or functionality may affect our services. We will make reasonable efforts to adapt to such changes in a timely manner.

Data Handling

Our handling of data is governed by our Privacy Policy. In summary: we process data on your behalf as a service provider, we encrypt sensitive credentials, and we do not sell or share your data.

Service Availability

We make reasonable efforts to maintain service availability but do not guarantee uninterrupted operation. Services may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will notify affected clients of planned downtime when feasible.

Limitation of Liability

Factotim's liability for any claim arising from the use of our services is limited to the fees paid by the client for the specific service in the twelve months preceding the claim. Factotim is not liable for indirect, incidental, or consequential damages, including lost revenue, data loss, or business interruption.

Termination

Either party may terminate the service relationship with reasonable written notice. Upon termination:

• We will revoke access to connected third-party services
• We will delete stored credentials within 30 days
• Operational logs may be retained per our data retention policy

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to affected clients directly. Continued use of our services after notification constitutes acceptance of updated Terms.

Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles.
